Northern Tech Supply ("Company," "we," "us," or "our") operates the website [northerntechsupply.com] (the "Site"). These Terms of Service ("Terms") govern your access to and use of the Site, your account, and any purchases of products (including new, refurbished, or open-box tech components and electronics).
By accessing the Site, creating an account, or placing an order, you agree to these Terms and our separate Privacy Policy (linked in the footer and during checkout). If you do not agree, DO NOT use the Site or make purchases.
1. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into contracts. By using the Site, you represent that you meet these requirements and that you are not prohibited from receiving products under applicable law.
2. Products, Descriptions, and Condition
We are a reseller. Products are sourced from third-party suppliers and manufacturers and fulfilled/shipped directly by them or their logistics partners (dropshipping model). We do not manufacture the products.

Product information: Descriptions, images, specifications, and pricing are provided for convenience and are based on information from suppliers/manufacturers. We make reasonable efforts to ensure accuracy but do not guarantee that descriptions are complete, error-free, or current. Actual products may vary slightly in appearance or specifications due to manufacturing changes, photography, or supplier updates. Availability is not guaranteed.

Refurbished / Renewed / Open-Box products: These are pre-owned or returned items that have been inspected and tested by the supplier or us for functionality. They may show minor cosmetic wear (scuffs, scratches, etc.) but are in good working order unless otherwise noted. Refurbished products are sold "AS IS" and "WITH ALL FAULTS." By purchasing a refurbished product, you acknowledge in simple and concise language that: (1) the goods are being sold on an "as is" or "with all faults" basis; and (2) the entire risk as to the quality and performance of the goods is with the buyer. We recommend you inspect upon receipt and back up any data before use or return.
We are not responsible for manufacturer discontinuations, spec changes, or third-party compatibility issues.
3. Pricing, Payment, and Taxes
All prices are in U.S. dollars and are subject to change. Applicable sales tax and shipping charges are calculated and displayed at checkout. You are responsible for any import duties, taxes, or fees if shipping outside the U.S. (if offered). Payment is processed securely through third-party providers (e.g., Stripe, PayPal). You authorize us (or our processor) to charge your provided payment method.
4. Orders, Acceptance, and Cancellations
Placing an order constitutes an offer to purchase. We (or the supplier) may accept or reject any order for any reason, including stock issues, pricing errors, or suspected fraud. Order confirmation is not acceptance. You may cancel before shipment; after shipment, cancellations are not going to be honored.
5. Shipping and Delivery
Shipping times are estimates only and not guaranteed. Delays can occur due to supplier processing, carrier issues, weather, or high demand. Risk of loss and title pass to you when the product is tendered to the carrier at the shipping point. We provide tracking where available. For international orders (if offered), you are responsible for customs clearance, duties, and compliance with local laws.
6. Returns, Refunds, and Exchanges
We offer a 14-day return window from the date of delivery for most items, subject to the conditions below. To be eligible:

The item must be in resaleable condition (original packaging, all accessories, manuals, and tags included; no excessive wear or damage caused by you).

Return shipping: Customer pays return shipping costs unless the item is defective, damaged, or the wrong item was sent (in which case we will provide a prepaid label or reimburse reasonable costs).

Restocking fee: A restocking fee of up to 15% may apply to opened or used electronics that are returned in otherwise acceptable condition (to offset inspection, testing, and repackaging costs). No restocking fee for defective/DOA items or our error.

Refunds: Processed to the original payment method within 5–10 business days after we (or the supplier) receive and inspect the return. Shipping charges are generally non-refundable.

Non-returnable / Final Sale: Opened software, digital goods, custom-configured items, items missing serial numbers or with removed security features, and products marked as final sale. Refurbished items may have shorter windows or additional restrictions noted on the product page.
For supplier-fulfilled (dropship) orders, the return process may involve coordination with the supplier, which can extend timelines. We will work in good faith to resolve issues.
7. Warranties and Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, products are provided "AS IS" and "AS AVAILABLE" except as expressly stated in these Terms or on a product page.
We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement, except where such disclaimers are prohibited.
Manufacturer warranties (if any) may pass through to you; contact the manufacturer directly for claims. We do not provide additional warranties on most refurbished items beyond any limited DOA or seller warranty stated on the product page.
Compatibility: We disclaim any warranty of compatibility with your existing hardware, software, networks, or specific use case. Verify specifications before purchase.
Data and Devices: If purchasing computing devices, back up all data before use or return. We are not responsible for data loss, corruption, or any personal/sensitive information remaining on a device. We recommend performing a factory reset upon receipt. Refurbished devices are expected to be wiped by the supplier, but you should verify and re-wipe as needed.
Batteries and consumable parts are typically excluded from any warranty coverage.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE, OR ANY PRODUCTS SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID FOR THE SPECIFIC PRODUCT(S) GIVING RISE TO THE CLAIM.
WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS INTERRUPTION, PERSONAL INJURY, OR PROPERTY DAMAGE, REGARDLESS OF THE CAUSE OR THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the minimum extent required.
9. Indemnification
You agree to indemnify, defend, and hold harmless the Company, its owners, officers, employees, agents, suppliers, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, your violation of these Terms, your negligence or misconduct, or any product you resell or use in a manner not intended.
10. Intellectual Property
All content on the Site (text, images, logos, software, etc.) is owned by us or our licensors and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written permission.
User-generated content (e.g., reviews, comments) grants us a perpetual, royalty-free, worldwide license to use, display, and modify it in connection with the Site and our business.
11. Prohibited Uses
You may not use the Site for any illegal purpose or in violation of any law. Prohibited activities include (but are not limited to): scraping or data mining, interfering with Site security or functionality, providing false information, reselling products in violation of manufacturer restrictions, or attempting to circumvent any security or payment measures.
We may suspend or terminate accounts for violations.
12. Privacy
Your use of the Site and any personal information you provide is governed by our Privacy Policy. We collect, use, and protect data as described there.
13. Third-Party Suppliers, Links, and Services
We use third-party suppliers for fulfillment, payment processing, shipping, and other services. We are not responsible for the acts or omissions of these third parties. The Site may contain links to third-party websites; we are not responsible for their content or practices.
14. Dispute Resolution, Governing Law, and Venue
These Terms are governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of laws principles.
Any dispute arising out of or relating to these Terms or the Site shall be resolved exclusively in the state or federal courts located in Minnesota. You consent to the personal jurisdiction of those courts.
We encourage good-faith negotiation first.
15. Changes to These Terms
We may update these Terms at any time. Material changes will be posted on the Site with a new effective date. Your continued use after changes constitutes acceptance. For significant changes affecting existing orders, we may provide additional notice.
16. Miscellaneous
These Terms, together with the Privacy Policy and any product-specific terms, constitute the entire agreement between you and us. If any provision is found unenforceable, the remainder remains in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our consent. These Terms do not create any agency, partnership, or employment relationship.
